1. Acceptance of Terms

By visiting our website, installing an application, creating an account, or using any feature that we offer, you confirm that you have read, understood, and agreed to these Terms of Service. These terms apply to every visitor and user, whether they are using a free tool or a paid subscription.

If you use our services on behalf of a company, an employer, or any other organisation, you confirm that you have the authority to bind that organisation to these terms. In that case, the words you and your in these terms refer to that organisation, and your corporate account is treated under the same rules as a personal account.

2. Eligibility

To use our services you must be at least 16 years old. If you are younger than 16, a parent or legal guardian may provide permission for you to use the services, and that adult is responsible for supervising your use. We do not knowingly offer our products directly to children under 16.

You also confirm that you are providing truthful information when you create an account, that you are not breaking any law that applies to you by using the services, and that you will use the services in a genuine and honest manner. 5. License to Use Our Services

Subject to your agreement with these terms, we grant you a limited, personal, non-exclusive, non-transferable, and non-sublicensable license to access and use our services for your own lawful purposes. This license is for your personal or business use as appropriate to the product you have chosen.

You may not copy, sell, resell, rent, lease, or redistribute any part of our services, application code, or content, nor may you use them to build a competing product. The license we grant here does not give you ownership of any part of the service; you only have the right to use it under these terms. All other rights are reserved to us.

6. Acceptable Use

You agree to use our services in a way that does not harm others, break the law, or interfere with the service for anyone else. You must not do any of the following.

  • Attempt to access another persons account or personal data without permission.
  • Send spam, unsolicited messages, or automated requests that overload our systems.
  • Attempt to break or bypass our security, including trying to guess passwords or gain access to restricted areas.

7. User Content and Intellectual Property

Some services let you record your own content, such as journal entries, habit notes, or mood reflections. You keep ownership of any original content that you create and record using our products. We do not claim ownership of your content, and we only use it to provide the feature you asked for.

When you upload or record content, you grant us a limited license to store, process, and display that content solely for the purpose of operating the service and giving you access to it. You confirm that you own or have the permission to use any content you provide, and that your content does not violate the rights of any third party. If you have any doubt about rights, please do not share the content.

8. Subscriptions and Payment

Some of our services are offered on a subscription basis. When you purchase a subscription, the price, billing period, and renewal terms will be displayed to you clearly before you confirm the payment. By completing a purchase, you authorise us, or our trusted payment provider, to charge the amount shown.

Subscription fees are generally billed in advance for the period you have chosen and will renew automatically until you cancel. You can cancel at any time through your account settings or by emailing team@shanmu.mom. On cancellation, access continues until the end of the paid period you have already bought. Where required by law, we offer a refund for unused periods; otherwise fees are non-refundable once the period has begun.

9. Free Tools and Trials

We offer some tools free of charge, as well as trial access to premium features. Free and trial versions may be limited in scope, time, or the number of sessions available. We may change, suspend, or remove free features at our discretion, and we will make a reasonable effort to let you know before doing so when it is practical.

A trial does not become a paid subscription unless you actively choose to purchase one. When a trial ends, you simply lose access to the premium features. You are responsible for any charges that you have agreed to during the trial, and you can always choose not to continue.

10. Corporate Wellbeing Programs

For organisations that purchase a wellbeing program, we may provide additional administrative tools, reporting, and group sessions. When you buy a program on behalf of a company, you agree to the specific terms confirmed in your agreement, which supplement these general terms.

Corporate reports are always anonymised and aggregated, and they never identify individual employees. Your organisation receives only summary information. We place a strong duty of care on how corporate data is handled, and we expect the same responsibility from the company using the program with its people.

11. Mobile and Data Usage

Our applications are designed to work on your mobile device or computer. When you download, update, or use an application, we may need to transfer data over your internet connection, which could use data from your mobile plan. You are responsible for any such data charges made by your network provider.

We recommend connecting to a secure network when you use our services, both to protect your data and to reduce the risk of someone else intercepting your connection. We are not responsible for charges or data usage imposed by third party networks that you use to reach our services.

12. Suspension and Termination

You may stop using our services at any time and close your account. We may suspend or terminate your access if you break these terms, misuse the service, or if doing so is required by law. We will generally let you know the reason when we suspend an account, unless we believe it would compromise safety or break a law to do so.

After termination, your right to use the service ends, and we may delete your account data in line with our Privacy Policy. Nothing in this section removes any legal rights you are entitled to under the laws that protect you. Any sections of these terms that are meant to survive termination will continue to apply.

13. Disclaimer of Warranties

Our services are provided on an as is and as available basis. To the maximum extent permitted by law, we make no warranties or representations, whether express or implied, about the availability, reliability, suitability, or uninterrupted operation of the services. Your wellbeing products are for general wellness and relaxation and are not a substitute for professional medical care.

We do not warrant that the services will be free of errors, uninterrupted, or completely secure, and we are not responsible for any loss that results from factors beyond our reasonable control, such as general network problems, power failures, or events outside our management. Nothing in these terms limits warranties that cannot be excluded under the law that applies to you. If you have a health concern, we strongly encourage you to consult a qualified healthcare professional.

14. Limitation of Liability

To the fullest extent permitted by law, Foshan Nanhai Shanmu Technology Co., Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from or related to your use of the services. This applies regardless of the legal theory on which a claim is based.

In no event shall our total liability for all claims related to the services exceed the amount you paid us for the services in the twelve months before the event giving rise to the claim, or one hundred US dollars if you paid nothing. Because our services are informational and for general wellbeing, we ask you to use good judgment and to regard the tools as gentle support rather than guaranteed outcomes.

15. Indemnification

To the extent permitted by law, you agree to indemnify, defend, and hold harmless Foshan Nanhai Shanmu Technology Co., Ltd., its developers, officers, employees, and suppliers from and against any claims, damages, losses, liabilities, and expenses arising out of your use of the services, your breach of these terms, or your violation of any law or of the rights of any third party.

We reserve the right to assume the exclusive defense and control of any matter that you would otherwise be required to indemnify, and in that case you agree to cooperate with us in defending the claim. You agree not to settle any matter without our prior written consent, where we have assumed control.

16. Our Intellectual Property

All content, design, graphics, logos, text, code, and other material that makes up our services is owned by Foshan Nanhai Shanmu Technology Co., Ltd. or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not use our name, logo, or branding without our prior written permission.

The ShanMu brand and the wellbeing products we offer are the valuable property of our company. Any unauthorised use of our trademarks or a copy of our visual identity is a breach of these terms and may violate the law. We reserve all rights not expressly granted in these terms, and nothing here gives you any ownership interest in our work.

17. Privacy

Your use of our services is also governed by our Privacy Policy, which is available on this website and explains how we collect, use, and protect your personal information. That policy and these terms work together. If there is ever a conflict, the specific promise about privacy in the Privacy Policy takes priority over these general terms.

We encourage you to read the Privacy Policy carefully, because it describes the rights you hold over your data, how to request a copy or deletion of your information, and how we keep your data safe. By using the services, you acknowledge that you have had the opportunity to read and understand that policy.

18. Governing Law and Disputes

These Terms of Service are governed by the laws of the People of the Republic of China, without regard to conflict of law principles, and subject to any mandatory consumer protection laws that apply to you. This means the rules that protect you under the law of your own country are never taken away by these terms.

If a dispute arises, we will first try to resolve it quickly and fairly through open discussion. We welcome you to contact team@shanmu.mom so we can understand and address any concern. If a dispute cannot be resolved amicably, it will be handled by the courts with jurisdiction over our registered place of business, unless the law where you live gives you a compulsory right to a different forum.

19. Severability and Waiver

If any part of these Terms of Service is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that part will be removed or limited to the minimum extent necessary, and the remaining parts of the terms will continue to have full force and effect.

A failure by us to enforce any provision of these terms at any time does not mean we waive our right to enforce it later. A waiver of any term in one instance does not waive that term generally. Our rights and remedies under these terms are cumulative and are not limited by any other right or remedy we may hold.
